Matheus Ramalho, partner at Licks Attorneys, spoke at the “VII Brazilian Congress on Business Law,” organized by the Brazilian Institute of Business Law (IBDE). He joined the panel “Monetization in Judicial Reorganization: A New Path,” alongside Justice Benedito Gonçalves of the Superior Court of Justice (STJ), Appellate Judge Maria da Penha Nobre Mauro of the Rio de Janeiro Court of Appeals (TJRJ), and Gustavo Mauro Nobre, President of IBDE.

In his presentation, Matheus highlighted strategies to align the interests of creditors and debtors, aiming to attract investments and generate new revenue for companies undergoing judicial reorganization. The mechanisms discussed included sturcturing and implementing fire sales; special plan provisions for suppliers and investors; DIP loans; usage of stalking horse provisions; reverse auctions to reduce liabilities; and litigation finance and structured arrangements for the assignment of legal claims.

Matheus Ramalho, sócio do Licks Attorneys, participou como palestrante no “VII Congresso Brasileiro de Direito da Empresa”, promovido pelo Instituto Brasileiro de Direito da Empresa (IBDE). Ele integrou o painel “A monetização na Recuperação Judicial: um novo caminho”, ao lado do Ministro do STJ Benedito Gonçalves, da Desembargadora do TJRJ Maria da Penha Nobre Mauro e do Presidente do IBDE, Gustavo Mauro Nobre.

Em sua apresentação, Matheus destacou estratégias para alinhar os interesses de credores e devedores, com o objetivo de atrair investimentos e gerar novas receitas para empresas em recuperação judicial. Entre os mecanismos abordados, estão: constituição e alienação de UPIs; calibrações na classe de fornecedores; DIP loan; cláusulas stalking horse; leilões reversos; e cessão de direitos litigiosos da empresa em recuperação judicial.
